| Abstract: | The objective of this titling work is to determine the existing problems in the typification of the articles of the Commercial Code regarding the figure of the mandate contract within the Consortium and how this affects it. Ecuadorian legislation presents different characteristics in the regulation of the Consortium contract compared to countries that manage a legal system like ours and a very serious confusion regarding joint and several liability and the essential requirements for the configuration of a mandate contract within the Consortium. There is the possibility in the country of being able to assign a general attorney if the parties want it, it is not mandatory, but if it is required, with the mere consent of only one party in the execution of the mandate contract, the other members of the Consortium are bound. |
| Description: | El presente trabajo de titulación tiene por objetivo determinar los problemas existentes en la tipificación de los artículos del Código de Comercio, respecto a la figura del contrato de mandato dentro del Consorcio y cómo esto afecta al mismo. La legislación ecuatoriana presenta características diferentes en la regulación del contrato de Consorcio en comparación con países que manejan un ordenamiento jurídico parecido al nuestro, y una confusión muy grave respecto a la responsabilidad solidaria de requisitos esenciales para la configuración de un contrato de mandato dentro del Consorcio. Cabe la posibilidad, en el país, de poder asignar a un apoderado general por así quererlo las partes; no es obligatorio, pero en caso de así requerirlo, con el mero consentimiento de solo una parte en la celebración del contrato de mandato, los demás integrantes del Consorcio quedan obligados. |
